Prerequisite: Business Organizations (LAW 7110) This course covers the law of mergers and acquisitions under state corporate law and the federal securities laws with a special focus on issues under Delaware law. Major topics include fiduciary duties of directors in business combination transactions, legal and financial considerations in structuring of deals, tender offers, proxy fights, hostile takeovers including anti-takeover devices such as poison pills and state anti-takeover statutes, deal protection devices, squeeze-out transactions, and appraisal rights.
