Survey of Business Tax
Prerequisites: Introduction to Federal Taxation (LAW 7034) and Business Organizations (LAW 7110) This course covers the tax issues arising during the life cycle of business entities, viewed from a federal income tax standpoint. It examines the major tax consequences that arise from formations, operations, distributions, redemptions, and terminations with respect to partnerships, LLCs, C corporations, and S corporations. The course explores tax issues that should be considered by the general practitioner and the business lawyer. The problem method of instruction will be used for most topics. Grades will be based on two quizzes and a final exam constituting 20, 20, and 50 percent of student's grades as well as 10 percent for class participation.
